1. Agreement to Terms
By accessing or using GiGa's platform, mobile applications, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. GiGa reserves the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
GiGa is a platform that connects brand ambassadors, UGC creators, and promoters ("Ambassadors") with brands and agencies ("Clients") for marketing campaigns, events, activations, and gig-based work opportunities. We facilitate transparent pricing, automated billing, and seamless payment processing between parties.
3. Eligibility
To use GiGa, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding agreement
- Provide accurate and complete registration information
- Not be prohibited from using the Service under applicable laws
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify GiGa of any unauthorized use of your account. GiGa reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
5. Ambassador Terms
As an Ambassador using GiGa, you agree to:
- Complete accepted gigs professionally and in accordance with Client specifications
- Provide accurate information about your skills, experience, and availability
- Comply with all applicable laws and regulations, including FTC disclosure requirements
- Not misrepresent your relationship with brands or make false claims
- Maintain professional conduct at all events and activations
6. Client Terms
As a Client using GiGa, you agree to:
- Provide clear and accurate gig descriptions and requirements
- Pay Ambassadors promptly according to agreed-upon terms
- Treat Ambassadors with respect and professionalism
- Not circumvent the platform to avoid fees or engage Ambassadors directly
- Ensure campaigns comply with applicable advertising laws and regulations
7. Payments and Fees
GiGa facilitates payments between Clients and Ambassadors. By using the Service, you authorize GiGa to process payments on your behalf. GiGa may charge service fees as disclosed on the platform. All fees are non-refundable unless otherwise stated. Payment terms, including timing and methods, are governed by the specific agreements made through the platform.
8. Intellectual Property
Content created by Ambassadors during gigs ("Work Product") is subject to the specific terms agreed upon between the Ambassador and Client for each engagement. GiGa's platform, including its design, logos, and software, is owned by GiGa and protected by intellectual property laws. You may not copy, modify, or distribute GiGa's proprietary content without permission.
9. Prohibited Conduct
You may not:
- Use the Service for any unlawful purpose
- Harass, abuse, or harm other users
- Post false, misleading, or defamatory content
- Attempt to gain unauthorized access to GiGa's systems
- Interfere with the proper functioning of the Service
- Use automated means to access the Service without permission
- Engage in any activity that could damage GiGa's reputation
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GIGA DOES NOT GUARANTEE THE QUALITY, RELIABILITY, OR AVAILABILITY OF THE SERVICE, NOR THE CONDUCT OF ANY USERS. GIGA IS NOT RESPONSIBLE FOR DISPUTES BETWEEN AMBASSADORS AND CLIENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. GIGA'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO GIGA IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless GiGa, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Termination
GiGa may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
